We draft and negotiate loan agreements, guarantees, security documents and related documentation. We also advise on the establishment and perfection of security interests and on legal and regulatory questions arising in connection with the financing. Our advice reflects relevant market practice, with an emphasis on clear and workable documentation.
The Norwegian Financial Agreements Act is the principal legal framework governing corporate lending agreements and often has a decisive bearing on the drafting of financing documentation. In this area, we draw on the fact that our partner Harald Sætermo has authored a comprehensive commentary on the Act, to be published by Universitetsforlaget in autumn 2026.
Financing arrangements must function throughout the life of the engagement, not only when the documentation is signed. We assist with amendments, waivers, refinancings and other changes as the borrower’s circumstances, the financing structure or the parties’ requirements develop.
We also advise on questions arising when a financing encounters difficulties, including default, restructuring, enforcement and insolvency. Our experience with both financing documentation and the later stages of credit relationships allows us to consider these matters as part of the same legal and commercial framework.
