We advise Norwegian and international companies, shareholders, boards and investors on establishing, organising and developing businesses in Norway. Our work includes company formations, governance and shareholder matters, capital changes, group reorganisations and other corporate-law questions arising throughout the life of a business.
In transactions, we assist with acquisitions and disposals of companies and businesses, minority investments, joint ventures, mergers, demergers and other structural changes. Depending on the matter, our work may include transaction structuring, letters of intent, legal due diligence, negotiation and drafting of agreements, corporate approvals and completion.
Corporate decisions and transactions often involve questions extending beyond company law. We consider relevant financing, contractual, regulatory, employment, insolvency and dispute-related issues and work closely with the client’s other advisers where appropriate. For international clients, we provide focused Norwegian law advice while keeping the wider transaction and cross-border context in view.
